We are looking for a motivated Corporate Paralegal to join our Specialised Legal team in Belgium.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">As <strong>Corporate Paralegal<\/strong>, you will support the corporate housekeeping of SD Worx subsidiaries in Belgium and across Europe, assist with M&amp;A-related corporate documentation and contribute to strategic corporate projects, working closely with more experienced colleagues.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We are looking for a legal professional with relevant work experience who, after the necessary onboarding, can quickly work with a high degree of autonomy.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You will be based in Belgium, report to the Director Specialised Legal and work closely with senior colleagues, the M&amp;A team, finance, business stakeholders, outside counsel and other legal &amp; compliance functions in an international legal team.<\/p>\n\n\n\n<div class=\"wp-block-stackable-heading stk-block-heading stk-block-heading--v2 stk-block stk-15a3b1d\" id=\"strong-which-key-responsibilities-will-you-have-strong\" data-block-id=\"15a3b1d\"><style>.stk-15a3b1d {margin-bottom:12px !important;}<\/style><h4 class=\"stk-block-heading__text\"><strong>Which key responsibilities will you have?<\/strong><\/h4><\/div>\n\n\n\n<p class=\"wp-block-paragraph\"><p><span style=\"background-color: transparent;\">&#8211; Support the corporate housekeeping of the SD Worx group companies, including the preparation and follow-up of: <\/span><\/p><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><span style=\"background-color: transparent;\">annual (and other) general meetings, meetings of board of directors, etc.<\/span><\/li>\n\n\n\n<li>restructurings (liquidations, mergers, transfers, etc.)<\/li>\n\n\n\n<li>changes in composition of board of directors;<\/li>\n\n\n\n<li>management of specific proxies | signature authority;<\/li>\n\n\n\n<li>maintaining the shareholders\u2019 registers;<\/li>\n\n\n\n<li>maintaining the corporate housekeeping document management tool (\u201cCorporify\u201d).<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">&#8211; Support the preparation and follow-up of legal formalities, such as corporate registrations, publication requirements, UBO requirements, KYC questions, legalisation, apostille and other administrative legal formalities.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">&#8211; Assist in drafting, following up and maintaining SD Worx intercompany agreements, together with finance colleagues and senior legal team members.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">&#8211; Support the M&amp;A team by collecting and preparing corporate information, documents and follow-up actions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">&#8211; Support trademark management activities in collaboration with the trademark agent and marketing team, including follow-up of trademark matters and related documentation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">&#8211; Act as a reliable point of contact for external stakeholders such as notaries, law firms, statutory auditors and corporate service providers.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">&#8211; Support the improvement of corporate housekeeping processes, templates and best practices, including by staying informed about relevant corporate governance developments.<\/p>\n\n\n\n<div class=\"wp-block-stackable-heading stk-block-heading stk-block-heading--v2 stk-block stk-ec1af95\" id=\"what-do-you-need-for-this-role\" data-block-id=\"ec1af95\"><style>.stk-ec1af95 {margin-bottom:12px !important;}<\/style><h5 class=\"stk-block-heading__text\">What do you need for this role?<\/h5><\/div>\n\n\n\n<p class=\"wp-block-paragraph\">&#8211; You hold a bachelor&#8217;s degree in law, degree in paralegal studies or equivalent through experience.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">&#8211; <span style=\"background-color: transparent;\">You have minimum 3-5 years of experience in a similar legal, paralegal, administrative or corporate support role.<\/span><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">&#8211; <span style=\"background-color: transparent;\">Good communication skills in Dutch and English, orally and in writing.
